Chapter 88 Hutchison Whampoa
Hutchison Whampoa Limited (hereinafter referred to as Hutchison Whampoa) is one of the largest listed companies on the Hong Kong Stock Exchange;
Its history dates back to 1860 when it was named Robert Walker & Company and founded in Hong Kong. Initially, it mainly engaged in the entrepot trade of cloth, groceries and food.
In 1877, a young man from England named John Duflon Hutchison came to Hong Kong and quickly took over the company, renaming it John D Hutchison & Company Ltd. This name became the origin of the Hutchison brand.
At the beginning of the 20th century, Hutchison Whampoa began to expand its business footprint in mainland China, opening branches in important trading ports such as Shanghai and Guangzhou.
In 1947, after retiring from the military, Qi Dezun joined Hutchison Whampoa and gradually rose to become a member of the board of directors.
However, in the early 1950s, with the changing situation, Hutchison Whampoa decided to withdraw to Hong Kong and in the process established a close cooperative relationship with Wheelock and Company, with both parties holding shares in each other and appointing directors to each other's companies.
Later, in 1954, Kee Tak-Chun went a step further and became the chairman of the board of directors of Hutchison Whampoa.
Through a series of shrewd business maneuvers, the company gradually strengthened its position, including acquiring control of Hutchison Whampoa through International Investment Ltd. in 1963.
Under the leadership of Mr. Kee Tak-Chun, Hutchison Whampoa Group carried out a series of mergers and acquisitions through the issuance of new shares, including the acquisition of several long-established import and export companies such as Watsons, Tak Wah-Pau & Co. and Tai Wah & Co. in 1966.
In 1969, in order to further expand its business scope, Hutchison International issued preferred shares and raised HK$7200 million to acquire a 30% stake in Whampoa Dockyard.
In 1970, Hutchison Holdings established Hutchison Whampoa Limited and listed it on the stock exchange. The company has as many as 35 subsidiaries, with businesses covering multiple fields such as import and export trade, business services, machinery and equipment sales, automobile sales and building materials supply.
Then, in 1971, Hutchison Properties Limited was established and listed on the stock exchange.
However, between 1973 and 1974, Hutchison International was in trouble due to the collapse of the Hong Kong stock market.
In September 1975, HSBC Hong Kong invested HK$150 million to acquire a 33.65% controlling stake in Hutchison International, which led to Qi Dezun leaving his position.
In November of the same year, with the support of HSBC, WRA Wyllie took over as CEO of Hutchison International and began sweeping reforms to the company's structure.
Under Wyman Wright's leadership, Hutchison Holdings underwent a large-scale restructuring, closing or selling 107 companies and using the proceeds to strengthen its investment in core assets such as Whampoa Dockyard and Watsons.
On December 21, 1977, the board of directors of Hutchison International announced the merger plan with Whampoa Dockyard.
Finally, on January 3, 1978, Hutchison Whampao Ltd. was officially established, inheriting the listed status of Hutchison International and becoming a huge conglomerate with 180 companies, including 8 listed companies.
Today, the company's business spans multiple countries around the world and is renowned for its diversified operations, covering a wide range of sectors including world-leading container terminal operations, retail chain groups, real estate development and infrastructure construction, and even telecommunications and broadcasting services.
"Mr. Michael, why was I unaware of such an important matter before?"
We have discussed Hutchison Whampoa's development direction many times, but now it suddenly wants to transfer its shares to Sci-Fi Arcade. I think the board of directors should reconsider this matter in a more in-depth and detailed manner.
Hutchison Whampoa is not just a simple asset; it is also a key part of HSBC's strategic layout in Hong Kong and the entire Asia-Pacific region.
I hope...
Shen Bi murmured something, his tone carrying a hint of dissatisfaction and confusion.
However, Michael Sassoon did not give Simplicity a chance to elaborate on his views. He decisively interrupted Simplicity: "Mr. Simplicity, please listen to me first."
This is not a typical business negotiation; it is a notification of a final decision.
Sassoon’s voice was steady and calm, revealing his anticipation of Sim Phillips’ reaction.
"This is a choice made after careful consideration by HSBC and all its shareholders."
The owner of the sci-fi arcade not only offered an irresistible price, but also paved a new path for our future strategic planning.
The market is like a battlefield, constantly changing, and we must seize every opportunity.
This collaboration is beneficial to both parties.
Sham Bi felt an invisible pressure. Since he became the head of HSBC, Sassoon had rarely spoken to him in such a forceful tone.
He immediately realized his slip of the tongue: "Mr. Sassoon, I respect your position."
But please understand my doubts.
Hutchison Whampoa is of great strategic importance to us, and any changes to it will have a profound impact.
I would like to know more details so that we can better coordinate during the execution process.
Upon hearing this, Sassoon realized that his previous attitude had been somewhat too harsh, and his tone softened: "Mr. Simbir, thank you for your understanding."
There are actually many complex factors behind this decision.
Hutchison Whampoa has already detected that Li Huangtai is secretly acquiring shares, and Qi Dezun, Wei Li, and others, along with some senior executives from England, are putting pressure on us...
The original plan is no longer applicable.
"Understood, Mr. Sassoon."
Shen Bi took a deep breath and tried to adjust his mindset to accept this sudden information. "I will be prepared for everything."
Please tell me the specific terms: What is the price of the equity transfer agreement?
How many shares are you selling?
Are there any other things I should be aware of?
"kindness.
We will be selling all of our non-preferred shares, which is 9000 million shares, representing 22.4% of the equity.
The price is set at 8 yuan per share.
The Sci-Fi Street will pay half upfront, with the remaining half to be paid in installments over the next five years…
"Okay, I'll get started on it right away."
After hanging up the phone, Sir Michael Sandberg sat in his office leather swivel chair, gazing out at the bustling Victoria Harbour, his heart filled with mixed emotions.
His original plan was to hand over Hutchison Whampoa, a company with great potential, to a capable local entrepreneur like Lee Wong Tai…
